  • Conducted legal due diligence on the overseas subsidiaries and operations of Hong Kong-listed companies in connection with domestic IPO and capital markets transactions; reviewed corporate records, licensing, regulatory compliance, material contracts, employment matters, litigation exposure, and corporate governance, and prepared due diligence reports identifying legal risks and recommended remedial actions.
  • Provided ongoing legal advice to multinational and Chinese enterprises operating in Iraq on corporate, commercial, labour, and regulatory matters; assisted with company establishment, corporate governance, regulatory compliance, contract drafting and review, employment matters, and day-to-day legal risk management.
  •  Drafted, reviewed, and negotiated a wide range of commercial agreements — service, distribution, consultancy, procurement contracts, and NDAs — advising on risk allocation, governing law, dispute resolution, payment mechanisms, and contractual compliance in cross-border transactions.
